The Board BIOMAXIMA SA informs that in connection with the ongoing process of internal reorganization the decision to merge the Company with its subsidiary Cebo Sp. z o.o. with registered office in Gdańsk  has been taken in accordance with Art. 492 § 1.1  of the Code of Commercial Companies.

The merger plan was signed by the Boards of both companies on 24 December 2013, the Board of BIOMAXIMA SA submitted merger plan for the current report No. 33/2013. The merger plan was made available on the websites of merging companies at biomaxima.com and cebo.com.pl continuously from 24 December 2013 to the end of this Meeting to fulfill the obligation of art. 500 § 21 of the Commercial Companies Code.

The long-term objective of the merger is to create a company with strong fundamentals and a stronger competitive position by creating a vision of a unified and coherent organization , focused on the implementation of core business processes , capable of further dynamic development. As a result of the merge the company expects more efficient use of resources and human potential , technical , common supply chain, improvement of the financial standing and the elimination of mutual settlements between the merging entities.
